POSITION OVERVIEW The Secretary  plays a vital role in ensuring the effective operation of the board of directors and alignment with the organization's strategic goals. Acting as a liaison between the Board and Executive Team, the Secretary manages governance functions, board logistics, volunteer services, and compliance with legal and regulatory standards. This position also supports the NBME Council, Finance and Audit, Nominating and Governance, and Council Engagement board committees, and leads a small staff team. In this role, you will be responsible for preparing meeting agendas and minutes, facilitating communication among board members and leadership, and leveraging volunteer contributions to advance organizational objectives. The role demands strong organizational, communication, and interpersonal skills, strategic thinking, sound judgment, discretion, and the ability to manage multiple priorities efficiently. Ideal candidates will have governance experience in nonprofit or for-profit settings, team management experience, and the ability to work both independently and collaboratively. This role has been designated as a hybrid role, meaning you are required to perform specific job functions in the office at least once per month to support Board & committee meetings . RESPONSIBILITIES Board Support: Prepare and distribute board meeting agendas and minutes to board members Coordinate logistics for board meetings, including scheduling and venue arrangements Organize and maintain board documents and records in compliance with organizational policies and external regulations Direct the development of board policies and procedures Assist in the preparation of reports and presentations for board meetings Facilitate communication between board members and executive management Support Governance and Nominating, Finance and Audit, and Council Engagement Committees administratively and with strategic insights Coordinate onboarding and offboarding of Board Support the board in strategic planning and decision-making processes Advise on and facilitate the evaluation process for board performance and governance practices Support the board chair in planning and execution of board directives NBME Council Support: Coordinate onboarding and offboarding of Council members Support planning and execution of the Annual Meeting Set strategic vision for maximizing Council member engagement and effective support of organizational initiatives Facilitate the evaluation process for Council performance Facilitate communication between Council members and between Council members and staff Governance and Compliance: Ensure compliance with legal and regulatory requirements related to board governance Advise on and implement governance best practices Manage volunteer conflicts of interest process and decision-making Management: Manage staff in the Governance and Volunteer Services unit Work collaboratively with other units, exemplifying soft management skills. i.e. influence
QUALIFICATIONS Skills and Abilities Leadership skills to facilitate board discussions and decision-making Effective written and verbal communication skills Ability to handle sensitive and confidential information with discretion Excellent attention to detail and accuracy in documentation Exceptional organizational and time management abilities Strong interpersonal skills and the ability to effectively collaborate with and develop collegial relationships with a diverse group of staff and stakeholders Demonstrated strategic planning capability Ability to set vision and to execute Effective team management and building skills Flexible, forward-thinking, and continuous improvement approach to work Commitment to excellence in work and to inspiring confidence in colleagues and stakeholders Proficiency with office software and document management systems Experience Requires 8+ years of managerial experience Familiarity with board governance practices is required Previous experience working directly with executive and/or board level colleagues is required Previous experience in a Board secretary or governance role within a corporate or nonprofit board is highly desirable Education Bachelor's degree is required Advanced degree is desirable, i.e., JD, MBA Industry certification is advantageous, i.e., Certified Corporate Secretary (CCS) designation or Certified Governance Professional (CGP)

Compensation we are offering for this position is at $157,600-205,000/year . Please note that the offered rate for this position typically aligns with the minimum to midrange of this grade, but it can vary based on the successful candidate's qualifications and experience, department budget, and an internal equity review.
