Base pay range $250,000.00/yr - $300,000.00/yr Team Introduction The role is part of the Employment team within the Legal and Compliance Department's Corporate Law team. We provide legal counsel primarily to the Human Resources Group, but also to all other business groups, on legal issues related to all aspects of employment and the employee life cycle. We are a key partner to the firm in executing its human capital management strategy. Your role and impact The role involves providing legal support on Executive Compensation and Employee Benefits matters, with responsibilities that are both global and specific to the United States, Canada, and Latin America. A primary focus will be advising the Compensation and Employee Benefits Teams within Human Resources on compensation, equity, carried interest, retirement, and health and welfare plans. The position is based in New York. Your responsibilities Provide practical legal counsel to Human Resources and coordinate with outside counsel on issues such as: Stock plans, deferred compensation, employee stock purchase plans, carried interest plans. Public company disclosure requirements. 401(k) plans, health savings accounts, and welfare programs. Developing and updating policies, plan documentation, and communication materials related to compensation and benefits. Supporting vendor agreements and RFP processes. Negotiating employment, retention, separation agreements, and restrictive covenants.
Support HR-related aspects of strategic transactions and acquisitions, including: Due diligence on employee benefits and compensation plans. Negotiating employment representations and covenants in M&A deals. Collaborating with outside counsel on M&A transactions. Post-transaction implementation.
Develop policies, training, and stay updated on industry developments to ensure best practices. You have At least 8+ years' experience in executive compensation and employee benefits law. Preferably experience in financial services, private equity, or with a public company. Knowledge of risk mitigation related to employee lifecycle events and corporate transactions. Major law firm experience preferred. JD degree and admission to the New York bar.
