Job Description
What is the opportunity? As Managing Counsel in RBC's US Capital Markets Law Group, you will serve as a key senior member advising RBC's U.S. Global Equities and Global Investment Banking platforms, focusing on equity derivatives, margin loans, and structured notes. You will identify and explain legal, regulatory, and contractual risks for proposed transactions, covering these products. Collaborate with business and other functions to develop solutions to mitigate risk, draft and negotiate agreements, and support junior attorneys.
Working arrangement: In office at least three days per week.
What will you do? Serve as senior counsel advising on issuer call spreads, capped calls, ASRs, ATM Forwards, 10b5-1/10b-18 plans, structured margin loans, and derivatives related to affiliate and restricted stock hedging and monetization.
Lead on legal and regulatory developments, maintaining and updating documentation accordingly, with delegation to junior attorneys.
Engage with Sales, Trading, Structuring, Risk, Tax, and other teams regarding transaction structuring, execution, risk mitigation, approvals, and lifecycle events.
Lead ad hoc projects, regulatory or legal changes, and new business initiatives.
Collaborate with front office, Litigation, and control functions on regulatory inquiries and remediation efforts.
Manage external counsel relationships as needed.
What do you need to succeed? Must-have Law Degree; member in good standing of a U.S. state bar; 7-12 years of legal experience.
Knowledge of '33 and '34 Acts.
Familiarity with ISDA documentation, especially the 2002 Equity Definitions.
Strong drafting, analytical, and problem-solving skills.
Nice-to-have Experience with equity derivatives and/or structured notes at a major bank or law firm.
Understanding of derivative economics, market practices, and regulations (e.g., Dodd-Frank Title VII).
Experience with margin loans or fund financing.
Knowledge of UCC Articles 8 and 9, and the US Bankruptcy Code.

The salary range is $240,000–$275,000, depending on experience, skills, and market conditions. Total compensation may include bonuses, commissions, benefits, and other elements.
