Position Overview
Innventure creates, funds, operates, and rapidly scales companies in strategic collaboration with Multinational Corporations (MNCs). Leveraging MNC market data, we seek to identify opportunities where well-protected, disruptive technology solutions address significant unmet market needs.
The Director of Internal Audit, will manage the internal audit and SOX Compliance testing and planning for Innventure, its subsidiaries, and the new companies it creates (collectively referred to as Innventure or organization). This role will initially be as an individual contributor but is expected to grow in scope and responsibilities.
This role will manage the full cycle of SOX Compliance from planning, external audit coordination, internal testing coordination, efficiency/improvement identification and Audit Committee/Board presentations. The ideal candidate has strong organizational skills, meticulous attention to detail, and a solid understanding of accounting principles, SOX compliance requirements as well as being a pragmatic solution-oriented team leader.

Role Responsibilities
Plan and support the Company's SOX program including performing risk assessment, leading walkthroughs and performing tests of design and operational effectiveness of controls. Coordinate SOX program testing of controls with internal partners, external audit, control owners, managers, Operating Companies/Subsidiaries and executive management. Evaluate control deficiencies for impact and perform root cause analysis to determine appropriate management actions. Monitor and support management's remediation efforts to closure, including review of supporting evidence. Help assess changes to existing business processes to identify risks and provide recommendations for improvement. Advise in the design of controls /opportunities for control rationalization. Identify ways to improve the efficiency and effectiveness of business processes and opportunities to eliminate waste and assist in assessing financial operations and making best-practice recommendations to management. Help plan and conduct internal audits and investigations. Assist in the coordination efforts of ERM activities. Prepares and submits reports on the results of SOX audit, recommending improvements in policies, procedures, and operations Audit Committee and Board Presentations Be proactive in offering suggestions in and identifying opportunities for process and efficiency improvements Can appropriately challenge the status quo; never satisfied and always looking to improve Take ownership of projects and tasks assigned as well as those self-identified Additional ad hoc analysis and projects as needed
Required Qualifications and Experience
Minimum five years’ experience in Big Four advisory, assurance and/or auditing, including some supervisory experience Strong knowledge of risk assessment and familiarity with tools and techniques used to provide control and monitoring mechanisms Thorough understanding of SOX requirements and operational/financial risk of a global manufacturing company preferred In-depth knowledge of COSO Internal Control Framework and Sarbanes-Oxley requirements Solid knowledge of IT audit methodologies and control frameworks of IT platforms, processes, systems and controls, including areas such as network security, logical access and change management Solid understanding of required controls at an infrastructure and application level, databases and systems maintenance Exceptional written, oral, interpersonal and presentation skills and the ability to effectively interface with a broad range of audiences including senior management, business and industry partners The ability to quickly develop strong working relationships with internal departments, including those in international locations, external auditors while explaining their findings, and meeting face to face and/or via video call with process owners and other interested parties to communicate their findings. This role will largely be remote but will be based in Orlando, FL and may require some travel
