Position Summary
The Director & Counsel, U.S. Tax Planning is responsible for:
- End-to-end tax planning across the organization, from initial structuring to implementation
- Providing U.S. federal tax advice to partners in both the Wholesale and Retail business segments, including in areas such as section 265, section 871(m), tax treaties, structured notes, BEAT, Pillar 2, REIT compliance, branch taxation issues
- Providing tax advice with respect to new financial products and business activities
- Drafting file memos and documenting tax positions for audit preparedness
- Providing tax counsel to the corporate tax compliance and tax audit functions
- Monitoring and assessing the impact of new and proposed legislation, regulatory activity, and tax guidance
- Advising on the tax aspects of corporate development projects and collaborating with external tax advisors (e.g., M&A)
- Assisting Documentation teams reviewing tax provisions in agreements such as ISDAs, GMRAs, and GMSLAs
- Advising on entity optimization and structuring
Preferred Qualifications
Juris Doctorate 5+ years of experience in a corporate tax environment (in-house or at a law firm/Big 4) Excellent tax technical knowledge and research skills Strong analytical thinking Solid legal writing and verbal communication skills Sound judgment and decision-making abilities Ability to work well on a team Solid organization and project management skills Experience with financial products is a plus

Education & Experience
Undergraduate degree and/or 10+ years of relevant experience preferred Accounting, financial or relevant professional designation preferred
Customer Accountabilities
Focuses on comprehensive reviews, specialized analysis, audits and/or initiatives and a variety of complex projects and initiatives requiring seasoned specialist knowledge and/or the integration of cross functional processes within own area of expertise Facilitates integration of several key functional areas and/or business lines in dealing and solving highly complex financial management/ specialized accounting / taxation / audit / regulatory reporting and operational issues Acts as the primary interface with Finance partners /leaders and external parties Acts as key contact and expert within area of expertise for the development, design and delivery of effective accounting/ taxation processes, policies, programs and advice Maintains awareness of changing legal/regulatory requirements and practices within the industry and consults with policy/process owners within Accounting/ Taxation to ensure compliance Engages, manages and influences internal/external cross-functional partners to develop/deliver integrated solutions Accountable for the development and delivery of broad enterprise wide accounting/ taxation policies and initiatives, which may have significant regulatory components Creates business cases and innovative recommendations Executes on diverse and complex policies, implements and develops activities and tools for businesses. Supports financial strategy and management activities
