ITA is seeking a Director of Contracts to join the team at ITA Headquarters in Newport News, VA.
Responsibilities
The Director of Contracts will oversee a wide spectrum of contracting activities, such as proposal development, contract negotiation, administration, and closure. This role aims to optimize business outcomes while adhering to both corporate policies and government regulations.
Reporting to the Chief of Enterprise Services at ITA, the Director holds primary responsibility for directing the contracts and subcontracts functions across all major business areas. This position ensures that contracts administration and subcontracts operations align with ITA's strategic goals and adhere to contractual agreements, legal mandates, and regulations. Also, the Director will provide executive leadership with guidance on contract and supply chain matters, as well as updates on legislative and regulatory developments.
Duties and Responsibilities:
Oversee all contracts and subcontracts functions
Review and recommend terms on confidentiality, teaming, and other relevant agreements
Support the review and analysis of Requests For Proposals (RFPs),exception to terms as
Lead negotiation of major contracts, subcontracts, and supply agreements, as needed
Provide advice and legal interpretation of contract terms and conditions, and identify risk and potential liability
Advise executive leadership on the implication of relevant legislative and regulatory developments as well as any acquisition, supply-chain, and cybersecurity issues
Review all types of Government Contract awards and prime contractor awards, including: analyzing and evaluating terms and funding, reviewing for compliance with bid, negotiating provisions, mitigating risk
Administer resultant contracts and monitor contract performance through the life of the contract; contract maintenance and compliance to terms
Bring contracting expertise when representing ITA to major customers
Makes recommendations to management to execute contractual documents such as modifications, Memorandum of Agreements, Administrative Change Letters, and Letters of Technical Reviews such contractual documents to identify scope and clause changes, funding or contract value changes, and provides input to support any risk associated with acceptance of
Develops and works with internal customers to create and process notification letters to customers involving scope changes, limitation of cost and funds, operational issues, requests for modifications/adjustments, and work with finance on backlog reports, funding reports, performance metrics, etc.
Submits contracts and subcontracts reports and deliverable requirements to the customer when necessary
Complete contract close-out activities
Prepare/review RFP/Request for Quotes (RFQs) and subcontracts to subcontractors and suppliers, which may include: analyzing and evaluating proposals, negotiating subcontract provisions, mitigating risk, selecting and/or recommending subcontractors, and writing award documents
Monitor subcontractor performance and funding; negotiate and coordinate subcontract modifications; complete subcontract close-out activities, as required
Oversees and leads personnel on contracts team to carry out required activities for ITA
Responsible at a top level for the procurement system, and its integrity and development, including internal personnel involved in acquisition processes
Establish and maintain positive working relationships with contracting officers of the US government, prime contractors, the Defense Contract Managment Agency and other related organizations
Ensure that risks are assessed on potential projects, managed during contract execution and reported
Qualifications
Bachelor’s degree, preferably in finance, business or accounting
5-8+ years of experience in federal and commercial international contracting and subcontracting
2+ years of experience in purchasing and procurement, particularly with respect to compliance with Defense Federal Acquisition Regulation Supplement (DFARS)
Ability to obtain and maintain Secret clearance
Possesses advanced conflict resolution and planning capability.
Proven capability to write and/or rewrite contractual language, and recommend alternate contractual language.
Proven capability to interface effectively with internal stakeholders and develop strong relationships with external customers
Expertise with applicable S. Government acquisition regulations; knowledge of the US Federal Acquisition Regulations (FAR) and the DFARS is required
Knowledge of all contract types including CPFF (Completion, LOE), FFP, FPAF, T&M, LH, IDIQ, BPA and BOA’s
Knowledge of purchasing/procurement systems and requirements, especially in a government contracting environment
Ability to lead, mentor, and motivate a professional level staff
Strong and proven effective leadership skills
Preferred Qualifications:
Master’s degree, preferably in finance, business or accounting
Experience with working in a Contracting Purchasing System Review (CPSR) type of environment
DAWIA Level III, CFCM, CPCM, ICCM-D or similar certification desirable
Working knowledge of Costpoint
Knowledge of International Traffic Arms Regulations (ITAR)
Knowledge of Small Business Innovative Research (SBIR) contract vehicles
