The Baxter Global Business Development Integrations & Separations Team is accountable for developing and maintaining a consistent, efficient, and comprehensive integration and separation approach. The main objective of the Business Development Integrations & Separations Associate Director is to support the realization of the value of both Baxter acquisitions and divestitures, ventures, and other “Special” projects by expertly leading and project managing cross-functional structured teams, robust processes and comprehensive toolsets, and helping to drive the consistent use of these by Baxter partners. This role will report to the Vice President of Global Business Development for M&A Integrations & Separations. What you'll be doing Enhance and refine the overall M&A process, including associated roles and responsibilities, from strategy through integration or separation, to ensure efficiency, simplification, and process excellence Lead the strategy and planning for large and complex transactions, such as global acquisitions, separations, and emerging market initiatives Oversee the planning and execution of legal entity separations for Baxter's Kidney Care segment spin-off and future transactions Serve as the liaison between the Business Development team and Baxter Business Units during critical phases of the deal continuum Manage and monitor service levels, advance issue resolution, and planning, along with internal and external benchmarking and process improvement initiatives Collaborate with the Business Leader(s) and Integration/ Separation team to lead project reviews, feasibility analysis, prioritization, and execution of key integration/ separation milestones Coordinate cross-functional teams to implement integration and separation plans, overseeing project deliverables, and resource allocation Identify and assess risks associated with integration and separation activities, develop proactive mitigation plans, monitor progress to minimize disruptions and ensure compliance and communicate to senior leadership, as needed. Develop and refine integration and separation strategies, including organizational structure, resource allocation, and timeline management, to ensure successful implementation and desired outcomes. Drive the implementation of IT program management and workflow solutions for M&A transaction management. Facilitate alignment of systems, processes, and cultures across merged or separated entities, promoting knowledge sharing and alignment. Monitor post-integration/ post-separation performance, evaluate the achievement of financial, operational, and strategic goals, and identify areas for improvement. · Provide guidance and mentorship to junior team members, fostering their professional growth and creating a high-performing environment. What you'll bring
Masters’ Degree in Business Administration (MBA) preferred Minimum 5 years of experience supporting M&A activity and functional integration/ separation including due diligence, integration/ separation planning & execution in a global medical device/life sciences industry. Has proven history of managing complex integration and separation projects in the global healthcare sector, ensuring successful outcomes while considering regional challenges Consulting experience managing Integrations & Separations highly preferred Highly familiar with M&A processes from across the entire deal continuum from due diligence to deal signing, Closing or getting to Day 1, and post-merger integration Extensive experience in project/ program management and progressive leadership experience including project initiation, scoping, resourcing, vendor management, risk management and implementation support. Preferably in global environments Experience managing divestitures, including due diligence, separation planning and execution, and strategic Joint Ventures preferred Some high-level understanding of one or more end-to-end business processes like market-to-order, order-to-cash, returns, procure-to-pay, forecast-to-delivery, plan-to-inventory, record-to-report, recruit-to-Retire, and appreciation for complex IT integration is highly desirable Intense focus on detail in developing, supporting, and monitoring detailed project achievements and metrics in intricate, matrixed settings Solid critical thinking, analytical and problem-solving skills, including the ability to use quantitative and qualitative data to identify and evaluate assumptions and draw conclusions, ability to independently identify, resolve and raise issues, and provide concise executive level summaries that accurately reflect analyses Possesses a service-mindset, building mutual trust and encouraging respect and cooperation among integration team members and other key partners Has a high capacity to manage and support complex work across multiple projects at any point of time Brings creativity to problem solving. Serves as an advocate for adopting innovative approaches/ ideas Superior communication, presentation and collaboration skills, at ease with both business and technical topics.
